3. Using our website
You may use our website to learn about WonderIT and to contact us. When you use it, you agree not to:
- Break any law or regulation, or infringe anyone's rights.
- Try to gain unauthorised access to the website, its servers or related systems.
- Introduce viruses, malware or other harmful code.
- Scrape, copy or harvest content or data in bulk without our written permission.
- Send spam or misleading messages through our contact form.
We may change, suspend or remove any part of the website at any time without notice.
4. Our services
Every project is different, so the details of each engagement, including scope, deliverables, timeline, fees and acceptance criteria, are set out in a separate written agreement, proposal or statement of work ("Project Agreement").
These Terms apply to every Project Agreement. If a Project Agreement conflicts with these Terms, the Project Agreement takes priority for that project.
Changes to agreed scope must be confirmed in writing by both sides and may affect timelines and fees.
5. Proposals and quotes
Proposals, estimates and quotes are based on the information available when we prepare them. Unless a proposal states otherwise, it is valid for 30 days and becomes binding only when both parties sign or accept a Project Agreement.
Time estimates are good-faith forecasts, not guarantees, unless a Project Agreement expressly makes a date binding.
6. Fees and payment
- Fees, billing schedule and currency are set out in your Project Agreement.
- Unless agreed otherwise, invoices are due within the payment period stated on the invoice.
- Fees exclude applicable taxes, which you are responsible for paying.
- Costs of third-party services you ask us to use, such as hosting, licences or APIs, are charged to you or paid by you directly.
- If an invoice is overdue, we may pause work until it is paid, after giving you notice.
7. Your responsibilities
To keep a project on track, you agree to:
- Give us accurate information and timely feedback, approvals and access to the systems we need.
- Name a contact person who can make decisions for your side.
- Make sure you have the rights to any content, data, trademarks or materials you give us.
- Comply with the laws that apply to your product and your users, including privacy laws.
Delays caused by missing input, approvals or access may move delivery dates.
8. Intellectual property
Our website
The content of this website, including text, graphics, logos and design, belongs to WonderIT or its licensors and is protected by intellectual property law. You may not reuse it without our written permission.
Project deliverables
Unless your Project Agreement says otherwise, ownership of the custom work we create specifically for you passes to you once you have paid all fees for it in full.
We keep ownership of our pre-existing tools, libraries, know-how and general-purpose components. Where these are part of your deliverables, you receive a non-exclusive, perpetual licence to use them as part of your product. Open-source components remain under their own licences.
Unless you ask us not to, we may mention that we worked with you and show non-confidential parts of the work in our portfolio.
9. Confidentiality
Both sides agree to keep each other's confidential information private and to use it only for the project. This does not apply to information that is public, already known to the receiving party, received lawfully from someone else, or that must be disclosed by law. A separate non-disclosure agreement takes priority where one is in place.
How we handle personal data is described in our Privacy policy.
10. Third-party services and links
Our website and our deliverables may rely on or link to third-party services, such as cloud hosting, app stores, payment providers, AI models or social networks. We are not responsible for their content, availability or terms, which you accept separately when you use them.
11. Warranties and disclaimers
We perform our services with reasonable skill and care, following good industry practice. Any additional warranty or support period is set out in your Project Agreement.
Our website is provided "as is" and "as available". To the extent the law allows, we make no other warranties, express or implied, including that the website or any software will be uninterrupted or completely error-free. Outputs from AI features can be inaccurate and should be reviewed before you rely on them.
12. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill.
- Our total liability for any project is limited to the fees you paid us for that project in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
13. Termination
Either party may end a Project Agreement as it allows, or immediately by written notice if the other party seriously breaches it and does not fix the breach within 14 days of being asked to.
If a project ends early, you pay for the work completed up to the end date, and we hand over the work you have paid for.
We may restrict access to our website for anyone who breaches these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of North Macedonia. We will first try to resolve any dispute through good-faith discussion. If that fails, the competent courts in Skopje have jurisdiction, unless your Project Agreement or mandatory law says otherwise.
15. Changes to these terms
We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date. Changes do not affect a signed Project Agreement unless both parties agree in writing.
